These Terms and Conditions (the “Terms”) outline the terms of use for the Khojo Right Now platform (the “Platform”). Your use of the Platform signifies your understanding of and agreement to be bound by these Terms and to comply with applicable laws, rules, and regulations. If you do not agree to these Terms, you may not register or use the Platform.
1. The Platform
1.1 Subscription to the Platform:
Khojo Right Now offers its users design tools for customizing profile, business cards and one page website for now, which allow for downloading and sharing such profile. The Company provides access to the Platform to users during the Subscription Term subject to these Terms.
1.2 Permitted Use:
You may only use the Platform for your personal, non-profit use, as allowed and subject to these Terms (“Purpose”).
1.3 Subscription Limitations:
Your right to use and access the Platform is granted solely to you and is non-transferable, non-exclusive, non-assignable, and non-sub-licensable. The Platform may only be used by individuals who can legally form binding contracts under applicable law, are aged eighteen (18) or older, and are not prohibited by law from subscribing to and using the Platform.
1.4 Modification or Discontinuation of the Platform:
The Company may change or update the Platform at any time, including the availability of features, content, or databases. The Company may also impose limitations or restrictions on certain features, services, or access to the Platform without prior notice or liability. Additionally, the Company may offer certain features to some users that may not be available to others.
2. Registration to the Platform
2.1 Account Registration:
To use the Platform, you must register and create an account (“Account”). The Company reserves the right to refuse registration or block access to the Platform at its discretion.
2.2 Account Information:
During the registration process, you may be required to provide certain personal information (e.g., name, phone number, email address). You agree to provide accurate, complete, and updated registration information. You are responsible for all activity that occurs on your Account, and you must keep your Account credentials secure. Notify the Company immediately of any security breaches or unauthorized use of your Account. You are responsible for any losses incurred due to unauthorized use of your Account.
3. Customer Content
3.1 General:
While using the Platform, you may upload or transfer data to be processed by the Platform on your behalf (“Customer Content”). Customer Content may include various forms of data, such as files, documents, text, designs, graphics, audio files, photographs, videos, and more, uploaded or transferred to or via the Platform. All rights to Customer Content remain with you.
3.2 Customer Content License:
By using the Platform, you grant the Company and its sub-processors an irrevocable, worldwide, royalty-free, fully paid, sub-licensable right and license to access, use, process, copy, download, store, distribute, and display Customer Content. This license is solely for the purpose of maintaining and providing the Platform and resolving technical and security issues or as otherwise permitted by these Terms. You represent and warrant that you have the necessary rights and permissions to grant this license without infringing any third-party rights.
3.3 Restrictions:
You may not upload, transfer, display, post, send, or otherwise make available to the Platform any Customer Content that infringes upon the rights of third parties, is defamatory, abusive, illegal, violates privacy, or contains harmful content. You are solely responsible for any violations of these restrictions, and the Company may remove any Customer Content at its discretion.
4. Intellectual Property and Right to Use
4.1 Company Intellectual Property:
All rights, title, and interest in the Platform, including content, materials, software, data files, documentation, designs, graphics, text, music, names, logos, trademarks, and service marks (excluding Customer Content), are the property of the Company and its licensors. These Terms do not grant you any rights to the Platform except for the limited right of use specified herein.
4.2 Prohibited Use:
You may not use the Platform for any purpose other than the Purpose, copy, modify, create derivative works, distribute, assign, sublicense, rent, lease, or share the rights granted under these Terms with third parties. Reverse engineering, de-compiling, or extracting source code from the Platform is strictly prohibited. You may not interfere with the Platform’s operation or engage in unauthorized access or use of the Platform.
4.3 Feedback:
If you provide feedback regarding the Platform’s errors, anomalies, or problems, the Company may use and incorporate your feedback into its operations without restrictions. You hereby assign all rights to such feedback to the Company.
4.4 Intellectual Property Infringements:
The Company does not tolerate intellectual property infringements. If you believe the Platform infringes upon your intellectual property rights, please contact us for resolution.
5. Privacy; Data Protection; Anonymous Information
5.1 Privacy Policy:
Your use of the Platform is governed by the Company’s Privacy Policy, which is an integral part of these Terms.
5.2 Anonymous Information:
The Company may collect, monitor, and use anonymous information (e.g., aggregated data, metadata, analytics) to improve, develop, and market the Platform. This information does not identify individuals.
6. Third-Party Software and Services
6.1 Sub-processors:
The Platform may engage third-party service providers or sub-processors to assist in providing the services offered. These sub-processors may have access to certain user data in order to perform specific tasks on behalf of the Platform. They are obligated not to disclose or use this information for any other purpose. The Platform conducts thorough due diligence before engaging any third-party service providers to ensure that they comply with applicable data protection laws and maintain adequate security measures to protect user data.
A current list of sub-processors and their functions can be made available upon request. The Platform reserves the right to update this list from time to time as new sub-processors are engaged or existing relationships change. Notifications will be provided to users regarding significant changes to the list of sub-processors.
